Voltage Nexus LLC Terms of Service

These Terms of Service (“Terms”) are entered into by and between you and Voltage Nexus LLC, a Florida limited liability company (“Voltage Nexus,” “Company,” “we,” “us,” or “our”). By accessing or using the Voltage Nexus website, software, kiosks, products, or services (the “Services”), you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing the platform, purchasing a kiosk, deploying hardware, renting a battery, viewing or serving an advertisement, or otherwise using any product or service offered by Voltage Nexus LLC, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and all policies referenced in them. If you do not agree, you must not use the Services.

Additional terms apply to specific relationships and features. Infrastructure Partners are also governed by the Infrastructure Partner Agreement; advertising is governed by the Advertising Policy; hardware warranties and returns are governed by the Refund & Warranty Policy; and personal information is handled as described in the Privacy Policy. Each of these is incorporated into these Terms by reference. Where a specific agreement you have signed conflicts with these Terms, the signed agreement controls for that subject.

2. Description of Services

Voltage Nexus LLC provides:

  • Battery rental kiosks and portable charging services
  • Digital advertising systems for kiosk screens
  • Cloud software, dashboards, and monitoring infrastructure
  • Venue amenity and partner operations tools
  • Analytics and reporting systems

The Company may add, modify, or discontinue any feature, product, or service at its sole discretion without prior notice.

3. Battery Rentals

Battery rentals are one-time transactions. A customer scans the kiosk, pays through our payment provider, and receives a charged battery, which may be returned to any kiosk in the network.

Rental pricing is a flat rate of $4.00 per hour, up to a maximum charge of $50.00. If a battery is not returned within 24 hours, the $50.00 maximum applies and no further charges accrue; at that point the battery is the customer’s to keep. Rentals are not a subscription and require no cancellation. Current pricing is displayed at the point of rental and may change from time to time.

4. No Guarantee of Earnings

Voltage Nexus LLC makes no representation or warranty regarding the income, revenue, profitability, or business results you may obtain from using the Services. Specifically:

  • No income guarantees of any kind
  • No guarantee of profitability
  • No guarantee of kiosk placement success
  • No guarantee of advertising revenue
  • Results vary based on location, usage, management, venue quality, market conditions, partner effort, and other factors outside the Company’s control

Any earnings examples, projections, or illustrations displayed on the website or in marketing materials are illustrative only and are not a guarantee of future results. No partner, representative, or promoter of Voltage Nexus is authorized to guarantee you income.

5. Infrastructure Partners

Infrastructure Partners purchase kiosks, place them in venues they source, and participate in the revenue those kiosks generate. The full terms of the partner relationship — including revenue share, commissions, overrides, obligations, and conduct rules — are set out in the Infrastructure Partner Agreement, which governs that relationship and is incorporated here by reference.

Independent contractors. Infrastructure Partners are independent business owners, not employees, agents, franchisees, or joint venturers of Voltage Nexus LLC. Partners set their own hours, choose their own venues, and bear their own costs and business risk. Nothing in these Terms creates an employment or franchise relationship, and this is not a franchise.

No purchase required. Participation as an Infrastructure Partner does not require the purchase of any kiosk, inventory, or product. There is no buy-in, qualifying order, or minimum purchase.

Compensation is earned only on the sale of real products and on the revenue that deployed kiosks generate from the public. Voltage Nexus pays no compensation for recruiting or enrolling anyone.

6. Advertising

All advertising displayed on the network is subject to the Advertising Policy, including its content restrictions, venue right of refusal, and the requirement that every campaign pass review before it runs. Advertising is targeted to kiosks and venues, not to individuals. The Company may approve, reject, modify, or remove any advertisement at its sole discretion.

7. User Responsibilities

You agree not to:

  • Abuse, damage, or vandalize kiosks or related hardware
  • Tamper with equipment, batteries, locks, or electrical systems
  • Commit fraud, including chargeback abuse or stolen-card use
  • Reverse engineer, decompile, or attempt to derive source code
  • Damage property belonging to the Company or any venue
  • Place partner-authored content, signage, links, or QR codes on or around a kiosk except as expressly permitted by Company policy
  • Misuse charging hardware in a manner inconsistent with its design
  • Use the Services for any unlawful purpose

8. Payment Terms

  • Payments are processed through third-party payment providers, including Stripe and Affirm. By transacting on the platform you also agree to the applicable provider’s terms.
  • Voltage Nexus does not see or store full payment card numbers; card data is handled by the payment provider.
  • All prices are subject to change. Posted prices do not include applicable sales, use, or other taxes, which may be added at checkout.
  • The software access fee for Infrastructure Partners is billed per owned kiosk on a recurring monthly basis, as described in the Infrastructure Partner Agreement, and continues until properly cancelled or the account is closed.
  • Voltage Nexus is not responsible for the failure, downtime, or policy decisions of any third-party payment system outside the Company’s reasonable control.

9. Kiosk Purchases, Warranty, and Returns

All kiosk purchases are final. Voltage Nexus does not offer refunds or a satisfaction-guarantee window on kiosk purchases.

Hardware is covered by a three-year limited warranty against manufacturing defects, and kiosks that arrive damaged or non-functional are eligible for replacement. Warranty coverage, exclusions, and claims are governed in full by the Refund & Warranty Policy, which is incorporated into these Terms by reference. Except as expressly provided there, the Services and all hardware are provided “as is” and “as available,” without warranty of any kind, whether express, implied, or statutory.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Voltage Nexus LLC, its officers, members, employees, contractors, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:

  • Indirect or consequential damages of any kind
  • Business interruption
  • Lost profits, lost revenue, or lost opportunity
  • Lost or corrupted data
  • Venue outages or closures
  • Network or cellular/LTE interruptions
  • Software downtime or service unavailability
  • Kiosk misuse, vandalism, or theft
  • Weather-related damage or natural disasters
  • Force majeure events, including pandemics, government actions, civil unrest, war, fires, floods, earthquakes, or power-grid failures

The Company’s aggregate liability arising out of or related to these Terms or the Services shall not exceed the amounts actually paid by you to the Company during the twelve (12) months immediately preceding the event giving rise to the claim.

11. Insurance

Kiosks are the property of the Infrastructure Partner who owns them. Loss or damage from theft, vandalism, accident, or other excluded causes is the owner’s responsibility. Voltage Nexus strongly recommends that partners maintain commercial insurance covering their kiosks.

12. Intellectual Property

All software, branding, systems, graphics, dashboards, logos, videos, kiosk firmware, mechanical designs, workflows, business processes, documentation, and other platform technology are the exclusive property of Voltage Nexus LLC or its licensors. No rights are granted to you other than the limited right to use the Services in accordance with these Terms. Any unauthorized use is strictly prohibited.

13. Third-Party Services

The platform relies on third-party services, including:

  • Payment providers (such as Stripe and Affirm)
  • Hosting and cloud-infrastructure providers
  • Telecom and cellular/LTE providers
  • Analytics and observability services
  • Mapping and location services
  • Email, SMS, and notification providers

Voltage Nexus LLC is not responsible for failures, outages, data breaches, or policy changes caused by third-party providers.

14. Arbitration & Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered in the State of Florida in accordance with the rules of the American Arbitration Association. You and the Company waive the right to a jury trial and the right to participate in a class action, class arbitration, or representative proceeding to the maximum extent permitted by law.

15. Account Suspension

Voltage Nexus LLC may suspend, restrict, or terminate any account or access to the Services at any time, with or without notice, for fraud, abuse, chargebacks, security risk, non-payment, or violation of these Terms or any other Company policy.

16. Modifications

These Terms may be updated by Voltage Nexus LLC at any time. The updated Terms become effective when posted. Continued use of the Services after an update constitutes acceptance of the revised Terms.
